BUSINESS TO BUSINESS- TERM OF SALE

This Business to Business Term of Sale is made on [Date] day of [Day] 20__ by and between:

[Name], having his registered address at [Address] herein after known as the Supplier and [Name], having his registered address at [Address] herein after known as the Customer.

WHEREAS the Supplier shall sell and the Customer shall purchase the Goods in accordance with any quotation or offer from the Supplier which is accepted by the Customer, or any order of the Customer which is accepted by the Supplier.

SALE: It is understood that any representations concerning the Goods shall not be valid unless such representations are confirmed by the Supplier. The Customer acknowledges that he does not rely on, and waives any claim for breach of, any such representations which are not so confirmed by the Supplier.

The Sales documents or information, price lists and other documents issued by the Supplier in relation to the Goods are subject to alteration without notice and do not constitute contractual offers to sell the Goods which are capable of acceptance, which shall exclude any typological error.

ORDER AND SPECIFICATIONS: It is agreed between both the parties that no order submitted by the Customer shall be deemed to be accepted by the Supplier unless and until confirmed in writing or delivered by the Supplier.

PRICE: The price of the Goods shall as acceptance of the Customer's order or such other price as may be agreed in writing by the Supplier and the Customer, subject to change by the Supplier by giving prior intimation to the Customer.

PAYMENT: It is understood between both the parties that subject to any special terms agreed in writing between the Customer and the Supplier, the Supplier shall invoice the Customer for the price of the Goods on or at any time after delivery of the Goods.

DELIVERY: It is agreed between both the Parties that the delivery of the Goods shall be made by the Supplier delivering the Goods to the location, time and in such order in the United Kingdom specified in the Customer's order.

It is agreed between both the parties that if the Customer fails to make any payment on the due date then, without prejudice to any other right or remedy available to the Supplier, the Supplier shall be entitled to either cancel the order or suspend any further deliveries to the Customer; or charge the Customer interest on the amount unpaid, at the rate of 8% per annum above the Bank of England base rate until payment in full is made.

LAW AND JURISDICTION: It is agreed between both the parties that these terms and conditions and the Contract shall be governed by, and construed in accordance with, the laws of England and Wales. Any dispute, controversy, proceedings or claim arising out of this Agreement shall fall within the jurisdiction of the courts of England and Wales.
